IMPLEMENTATION FUNDING CONTEST 2009

OFFICIAL CONTEST RULES

1. TO ENTER: NO PURCHASE NECESSARY. THIS CONTEST IS OPEN ONLY TO
British Columbia Hydro and Power Authority (“Sponsor” or “BC Hydro”) GENERAL SERVICE (COMMERCIAL) CUSTOMERS (“Eligible Customers”) which are eligible for the Power Smart Partner program, as a result of their electricity costs incurred between October 1, 2008 and September 30, 2009 being $50,000 or greater.

To be an Eligible Customer, an organization must hold a non-residential BC Hydro Commercial account which must be in good standing throughout the Contest Period. The individual who signs the Implementation Funding agreement on behalf of the Eligible Customer will be awarded the tickets should that customer’s name be drawn as the winner.

Contest begins on October 1, 2009 and ends December 31, 2009 (the “Contest Period”). Each time an authorized representative (“Authorized Representative”) of an Eligible Customer submits a signed and BC Hydro-approved PSP Implementation Funding agreement, the Eligible Customer will receive one (1) entry, to a maximum of two (2) entries per eligible customer. Authorized Representatives registering and entering the contest will be required to provide their organization’s name and contact information. By submitting an entry, the Authorized Representative, on behalf of the Eligible Customer, agrees to having read, and to comply with, these Official Contest Rules and, on their own behalf, confirms that they are an Authorized Representative for the Eligible Customer who has the Eligible Customer’s consent to entering this contest.

To enter without submitting an Implementation Funding Agreement, an Eligible Customer may send their BC Hydro Commercial account number, an authorized representative’s name and title, company name, mailing address, e-mail address, telephone number and fax number on a 5” X 7” piece of paper to: BC Hydro Power Smart Partner Commercial Customer Contest, 4555 Kingsway, Burnaby, BC, V5H 4T8. Mail-in entries must be received by December 31, 2009 and each mail-in entry must be mailed in a separate envelope bearing sufficient postage and containing the name of a different authorized representative. Entries become the property of BC Hydro and will not be returned.

LIMIT of two (2) entries per eligible customer, regardless of method(s) of entry.

2. All entries must be received by 11:59 PM (Pacific Standard Time) December 31, 2009.

3. PRIZES: There is one (1) grand prize available to be won, consisting of two (2) tickets to an event at the Vancouver 2010 Olympic Games (event will take place between February 12-28, 2010). Exact event will be determined by BC Hydro in its sole and exclusive discretion and event details, date/time and location will be provided to winner in advance. All other costs associated with the use by the winner and his/her guests of the prize, including but not limited to transportation, accommodation, meals, beverages, items of a personal nature, are the responsibility of the winner.

 The approximate value of the prize will vary depending on the events that the tickets are for. Maximum prize value is estimated at $300.

Prize tickets are subject to any and all terms, conditions or restrictions contained thereon or which may be imposed by the Vancouver Organizing Committee for the 2010 Olympic and Paralympic Winter Games (“VANOC”). To claim the prize, the organization must become a Power Smart Partner by signing a Power Smart Partner Conservation Pledge if they have not done so already.

If the selected Eligible Customer does not desire or require the prize, that party will forfeit the prize and BC Hydro may, in its discretion, select another entry from the remaining eligible entrants.

4. DRAW: On or about January 11, 2010, a computer-generated random draw will be conducted by BC Hydro to select one (1) entry for the grand prize.

5. NOTIFICATION, ETC.: The Authorized Representative of the selected Eligible Customer will be notified by telephone. To be declared a winner, the Authorized Representative of the selected entrant must correctly answer, without assistance of any kind, whether mechanical or otherwise, a mathematical skill-testing question.

The chances of winning will depend on the total number of eligible entries received. At least 5 attempts over the 10 business days following the draw will be made to contact the selected Eligible Customer. If the selected entrant cannot be contacted in this manner, that entrant will be disqualified and another entrant will be selected from the remaining eligible entrants for the prize in question.

Authorized Representatives of contestants must be residents of BC who have reached the age of majority (19 years of age). Organizations affiliated with BC Hydro, its subsidiaries, and its advertising or promotional agencies are not eligible to enter.

6. RELEASES, ETC.: Before being declared a winner, an authorized signatory for the selected Eligible Customer will be required to sign a Declaration of Compliance with these Official Contest Rules and a Release of Liability, releasing BC Hydro, its affiliated companies, and its advertising and promotional agencies, and all of their respective directors, officers, owners, partners, employees, agents, representatives, successors and assigns from any liability in connection with this contest or the prizes.

The Declaration and Release documents must be returned within 5 business days of delivery or, at the discretion of BC Hydro, the prize may be forfeited and awarded to another randomly selected entrant. By accepting the prize, the winner consents to the use of their business name and address and their representatives’ voices, statements and photographs or other likenesses for publicity purposes in any medium, without further compensation.

7. MISCELLANEOUS:

Entrants who have not complied with these official contest rules are subject to disqualification.

The Prize is not transferable and must be accepted as awarded with no substitutions in cash or otherwise, except at BC Hydro’s sole and exclusive discretion. BC Hydro reserves the right to substitute a prize of equivalent value if any component of the prize cannot be awarded as described. All decisions of BC Hydro are final in all matters relating to this Contest. BC Hydro and its affiliates and agents will not be responsible for illegible, incomplete, lost, misdirected or late entries, which will be void. All entries become the property of BC Hydro and will not be returned.

No correspondence will be entered by BC Hydro with respect to this contest into except with the selected entrant. BC Hydro reserves the right to terminate or amend this Contest at any time without prior notice, if any factor interferes with its proper conduct as contemplated by these Official Contest Rules. This Contest is subject to all applicable federal, provincial and municipal laws.

8. INTERNET DISCLAIMER: BC Hydro and its agents are not responsible for any problems or  technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received by BC Hydro on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to an entrant’s or any other person’s computer, related to or resulting from downloading any materials in this promotion.

BC Hydro reserves the right, in its sole discretion, to cancel or suspend the e-mail portion of this contest should a virus, bug, or other cause beyond the reasonable control of BC Hydro or its agents corrupt the security or proper administration of the contest. Any attempt to deliberately damage any website or to undermine the legitimate operation of this promotion is a violation of criminal and civil laws, and should such an attempt be made, BC Hydro reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.
